    I don't know how much clearer it can be.

    "Both Richard O'Shannassy and I have decided to step down as Directors of the Company to facilitate a change to the board..."

    They resign from the board as of 31 Aug 2010.

    The big boys weren't going to back the company without the change in the board. Thats the reason for this move. To protect the company they had to step down.
