Chairman is a rubber stamp. Has to rely on the CEO's Execution planning. If the CEO isn't executing or planning then the buck stops there.
Too much credence is given to the board, but remember they are not executives. They are not making the day to day decisions. GM is. Including everything that's happened over the last few months. These are execution failures.
