to grant up to a maximum of 20,000,000 Performance Options under the Company’s
equity incentive plan to Mr McKnight or his nominees for nil cash consideration, and
otherwise on the terms and conditions set out in the accompanying Explanatory
Notes.”

• The formula to calculate the number of Performance Options to be granted is
($1,260,000/ Market Value)
