It happens way too often with small caps. Company executives pay themselves grossly inflated remuneration under the pretexts of 'thats the going rate to maintain and attract talent' and 'its a democratic process - shareholders vote on the remuneration'. I'll BS of course. The second point - it's not a fair election. There are a very small minority that hold most shares, including themselves, and many shareholders don't vote so proxy votes fall in their favour.
