With performance shares, and I could be wrong but they are give to you for free once they vest. However they are classified as income at the current price.
So if RAC is $50 / share and 1,000,000 performance shares vest, you would need to declare $50,000,000 on top of your marginal tax rate.
You would then sell 1/2 to make sure you can pay your tax just incase it goes down.
