This type of thing is exactly the problem when management and their family and friends own a majority holding in a company.
Irrespective of how poorly they perform, they can always vote themselves out of any problems and pass any resolutions irrespective of how deaf they are to cries of holders, or how immune they are to the stench of their own performance.
