It is true that you need to ‘attend’ ( in person or by proxy) AND vote at meeting for you/vote to be in count. Abstaining, or not lodging a proxy vote means you are not in count & DO NOT COUNT as a SILENT NO.
ONLY shareholders who cast a vote will have their view/decision counted. hence, ALL SHAREHOLDERS are encouraged to vote rather than silently disagreeing with the proposal and doing nothing because they WRONGLY THINK they are ‘too small’ to affect outcome.
