Silvercorp can't vote on the takeover. Therefore only ~85% of shares available to vote. PRU has ~20% which means silvercorp only has 65/85 of available voters or 76%. if just 1% of voters say no, deal is off. This is even assuming you have full voter turn out, which never happens.
PRU have a full blocking stake.
