Was a period set at the start, and tax is only calculated at the time of sale, as opposed to the cost basis, that would be calculated at time of issue.
Escrow would not change either of these.
No sane person (or organisation) would look for a lower sale price (for a genuine sale to another independent party) to lower tax obligations, as that is always a losing game. Higher sale price means higher tax, but more net profit left over. Lower sale price means lower tax, but lower net profit.
