It's not up to ZIP TB, it's up to the shareholders. There is possibly about 80,000 shareholders and the board can only recommend whether any offer is good or bad, then leave it up to the holders to vote.
There is no one holder who has a big chunk - 31 instututions hold about 8% of the capital and Vanguard is probably the largest, holding less than 2%. The lion's share is retail holders, probably between 80 and 90% notwithstanding insiders
