Fair enough possibly not a conflict (bet it wouldn't pass the pub test) but performance rights as the wording suggests the right to acquire a “free” ordinary share in the future, subject to the achievement of performance hurdles.
What hurdles were in place none just self awarded for doing nothing other than what he already gets fully remunerated for, if there had of been some goals that needed to be reached or over and above hurdles achieved I'm all for bonuses/rights. I like many others showed our dissatisfaction toward the latest batch of BS performance rights fortunately for the wanker he was able to scrape through with his portion despite all the other BOD's withdrawing to save face. A great company leader would have seen the vote as a marginal win and also withdrawn sucked it up and then came back in the future with some real hurdles that justify a bonus or rights this I would respect he didn't so FOOK him.
