ASX listed companies should have an express and open policy as to trading in company equities ie sets out the protocols and such, guiding the Board members and other company executives with their individual trading (ie buying and selling) during crucial market sensitive periods, eg major company announcements, and the period leading up to the market release. Some companies require written prior permission of the Chairman, before undertaking any trading in company equities.
