Institutional and retail shareholders will accept the offer. Why would they want to be locked into an unlisted newco?

Alternatively Adamantem only has sufficient funds available to make a bid in x% of cash?

Plenty of institutional investors hold unlisted investments I can't see that being an issue unless there investment mandates prohibit it.
