55. Should Winsome elect to exercise the Call Option, the consideration payable has been
determined by the parties, and can be satisfied by Winsome, in Winsome’s sole discretion, in
cash, shares of Winsome or a combination of both. The consideration shall also be payable in
instalments as provided under the Call Option Agreement
