There are multiple ways he can extract capital from the company however it wouldn't be deemed fair if the demands were unreasonably high. It doesn't make sense for him to do anything untoward when the keys are so close to being in his hand. The clear pay will be to wait for the stipulated takeover times and progress with the delisting. As mentioned in a previous post there are so many benefits RG can get by owning this company wholly via his subsidiary. He's done his best to paint this as a failing business with no future prospects but those who hold on I suspect will get a better offer.
Manipur has our interests at heart in this situation as it directly aligns with what they can get. One could argue they're more interested in the earn out deal from Tic Group and perhaps will use this as leverage for that but ultimately if the bid isn't increased it still doesn't allow for an instant delisting. They seem quite pragmatic and don't have much attachment to the PGH group, moreso just getting what they deem to be fair value for both transactions.
