There might be more faith in GORs ability to manage.
GOR free cash flow and net cash don't look like it'd make a big difference though. And with their higher market cap it's not a great deal for RRL shareholders.
Anglogold Ashanti has what, 2B USD in debt? Funding with debt probably wouldn't be that bad for RRL, except that I think the market doesn't believe they can successfully build McP at all.
