Why go to all the cost, trouble and risk of a DCOA? It would be far easier for SD to lodge a takeover for the outstanding shares from minority shareholders and take the company private so they can do with the assets as they will.
By the way, I don't think either scenario is credible. I reckon SD will stick this out.
