    • BOARD HAS DETERMINED THE NDC COUNTERPROPOSAL WOULD PRODUCE A SUPERIOR OUTCOME TO SHAREHOLDERS
    • NDC HAS PROVIDED A COUNTERPROPOSAL OF A$2.05 PER SHARE
    • UNANIMOUSLY RECOMMEND THAT ALL PACIFIC SMILES SHAREHOLDERS VOTE IN FAVOUR OF SCHEME RESOLUTION TO APPROVE NDC SCHEME
