Resolutions to change directors powers in the constitution are "special" resolutions requiring 5% of SOI to request the resolution then 75% of votes from those who vote (not 75% of SOI) needed to pass. The company would go hypo and call in the lawyers as the directors don't want shareholders calling the shots on what they are give. Shareholders ofcourse do have the renumeration report to use as a tool to modify directors desires for performance rights etc.
