They are not allowed to issue shares to cover a significant raise of say $2m as has been mentioned in here. Hence suspect if it is a large raise then It will be via a debt instrument.
Management can't risk doing this on terms similar to "Bergen".... which effectively allowed him to short the stock and drive the price down.
I say that, I would hope management has learnt.
