I would speculate that Minerva is a related party to the entity interested in taking over MTC, or acting in their interest. They may be in league with Chifeng, to hold an ample stake to help push through a takeover.
Minerva was only registered in Hong Kong this year on 28 May 2024, obviously purely for this purpose.
Gino still holds a decent amount of shares, but it never looks good to see a director and the former chairman's wife get their pay-out ahead of long-suffering shareholders.
