The two-strikes rule was introduced in 2011. Under the rule, if shareholders vote down a company's executive remuneration package two years in a row, the board may be voted out of office.
If there is a strike against a company's remuneration report over two consecutive years a resolution to 'spill the Board' must be put to shareholders. A successful spill resolution would trigger a 'spill meeting' where the company's directors would be required to stand for re-election.
