RESOLUTION 6 – Renewal of Proportional Takeover Bid Provisions The Company's Constitution contains proportional takeover bid approval provisions (Proportional Takeover Bid Provisions) which enable the Company to refuse to register securities acquired under a proportional takeover bid (i.e. an offer for less than 100% of the shares but for the same proportion of each shareholder’s shares) unless a resolution is passed by Shareholders in general meeting approving the offer.
