Totally agree, two separate issues demand two separate votes. I have always been against “automatic” vesting affixed to a change of control and/or conjoining issues so that one or more piggybacks on another. Some SHs might argue that directors may even be tempted to vote in favour of a SOA for personal gain. Heaven forbid that could ever happen !!
