In this case it's just a stop gap. They didn't have the issue capacity under the listing rules to raise the whole sum, so the C-Note was issued in the interim until such times as a meeting could be convened.
After the 8th the C-note Holders will automatically convert to Shares & Options. Unless it gets voted down. But there's little likelihood of that. I'm hearing that Eight out of the Top Ten Holders took part in the C-Note!
