3 resolutions were passed at the AGM with greater than 75% of the votes. Think you are making a bigger issue of this than need be.
If the company can put a JV together that requires a bigger than 15% stake in the company, then shareholders will vote accordingly to whether it’s a decent deal. If it can’t get a 75% vote then it’s not a deal worth the paper it’s written on.
