Ok, I'll be honest, I'm starting to sweat now they are at 80%.
I'm very nervous about being a minority shareholder if they have enough votes to change the constitution and the like. I'm concerned that they will be able to generate the synergies and get the benefits of owning 100% of Essa without actually owning all of it.
1. Does anybody know of any case study's on takeovers that had support from directors and resulted in a sweetened deal for the people who held out?
2. What are the advantages to FLDsmith of mopping up the the remaining shares with an improved offer?
3. How much leverage do we have to extract a higher price?
I still agree that the offer is way too low, but i'm not sure what the odds are of doing better.
