re: Ann: Company Secretary Appointment/Resign... this whole thought stream around "separating the CFO and Company Secretarial function" is a waste of time.
What's happened is that the CFO/Company Secretary has resigned.
THEN as a matter of legal obligation, you can't go for any time at all without having a Company Secretary signed up. There are a bunch of people - often with financial and administrative backgrounds - who carve out comfortable careers providing company secretarial services to a number of companies at once (it's somewhere between a 1/10 and 1/4 job to be a company secretary to a small company).
ACL has signed up one of these guys. He may also be doing the books until a permanent CFO comes on board as he looks to be qualified in that area.
THEN - when they get a permanent CFO, I would expect that he/she will be company secretary as well.
Enuff said.
