This offer surely came in over the last couple of days or so. They tapped the ATM on the 28th and it would beggar belief that they did so knowing this offer was on the table.
If they did know, and still tapped the ATM, then they all need to be sacked. Would have resulted in a lot less dilution had it been done today..
