So looks to me the SOFR is running about 4.35% since Feb 2025, so 7% + 4.35% =11.35% interest p.a. payable 3 monthly. I haven't looked far enough to see if Horizon has been paying the interest when due.

Interestingly the maturity date for the loan is 29th November which is smack dab amongst the possible AGM dates.If the lender Nebari chose to convert to shares (and who wouldn't) it would need to do that earlier than two days before the meeting to get on the share register and be able to vote. Nebari would convert at about 3 cents per share instead of the original 4.2 cents conversion per share when the deal was made due to the effect dilution by Greenstone and Poseidon mergers and the Golden Crane placement and any other share issues have had. So Nebari is owed $9,736,320 as at 31st December 24 and if converted into shares at 3 cents equals 324 million additional shares to the registry but Nebari may be restricted to 235 million to avoid FIRB involvement. In my opinion Nebari will convert to shares on a progressive basis before the AGM and divest about 190 million shares retaining 235 million.

Theses conditions are so one sided and unfairly written, another 15% dilution??? I think the conversion price should be 25% above the market price at the time of conversion considering interest is paid. Just IMHO, at the least it should be legally interpreted
