Given a change of control will require Sh approval, and that's 8 weeks minimum to serve notice periods and circulate to holders, a 7c bid would guarantee management get 8M performance rights which at 6c a pop would nett them all $480k. They then get their rights a month before the vote, vote in favor, and hie into the sunset with (by and large) only mildly grumpy shareholders and a Maserati and wax kit worth of shares.
