Not a legal expert but as investor, I strongly believe a binding agreement must be honored as a matter of principle. The court must consider this could set a dangerous precedent as bidders can simply claim vague unproven adverse changes to get out of a signed deal. This transaction had gone through due diligence and detailed negotiations, they were given all the information they need and had plenty of time to make up their mind.
