Don't know who they are but yes as the process progresses the company will engage an independent expert to assess the offer. Not sure if the company chooses or its by the court? Regardless, they will be very very conservative and almost certainly say it's a good deal. I am sure it's happened but I am not aware of the independent assessor ever saying it's not a good enough deal.
remember they only have to say it's fair and reasonable. it does not have to be a 'good' deal.
