I'll be keeping an eye on those SEC disclosures for clues on who's buying and selling. If Aus Super sold out, they need to file disclosure this week. L1 Capital are already long overdue to file. Anyone now sitting above 5%, 10% or 20% holding may need to file imminently depending on circumstance.
(I mentioned a couple of 'outs' for Aus Super to avoid filing, but they were both legally flimsy. The SEC does occasionally round up and fine institutional investors who fail to file correctly, with one example being
Lazarus Management Company LLC who were fined US$60K in 2014 for late or missing Section 13D/G. That judgement also clarifies that the SEC interprets 5% change thresholds as cumulative to last filing, despite the rule only mentioning calendar months. And the SEC could take a dim view of trying to avoid filing by deliberately squeaking under the threshold.)
