It would be a very rare occasion to see a major corporate like Woodside enter into a "Binding" contract ahead of some form of preliminary Heads of Agreement or Memorandum of Understanding (MOU).This is just standard business practice.
When you mow someone's lawns, a contract may be struck after a coffee chat, maybe you would understand this.
The MOU is a required step to provide intention of both parties to proceed in good faith. Welcome to the real world.
