yeah I think its a bit convoluted,
but I read it as:

3 parts

1) 7 M
2) 1.5 M
3) contingent component to make final price 3 x EBITDA

where max final price = 14M

eg

if EBITDA - adjustments was 4M
then total price is 12M and part 3 = 3.5M

Hence range would be 7-14M most likely 12M (as 30% growth estimated by current owner)
