Well, I am not a contracts lawyer but the following must weaken Seton's case:
"The Management Services Agreement expired in accordance with its terms on April 9, 2023. Mr Seton resigned as
a Director on 22 December 2023 but continued to provide services to the Company without a formal
agreement".
Note - no formal agreement weakens Seton's case for payment in lieu of notice and so he would have to be appealing to general understanding of the relationship along with any hearsay or informal correspondence.
