"What is to stop the 3 Party JV selling out to , say , Alcoa or another well healed preditor , leaving them to control ongoing worldwide licenses/royalties and clip 40% of the Aust revenues?"

In relation to salt slag, they can't. Alreco have exclusive global rights.

In relation to the other. See below.

They do have first right of refusal for the other technologies. I see this as valuable, especially in light of the overall relationship. Frank would have to betray his own company to allow anyone else to have it.

Given the stage of the game they are at and the ensuing legal and other complications that would follow, it seems unlikely to the point of impossibility, to me, that they will suddenly deal MHM out.

However you see the risks the facts are on the table.

    CONTRACT FOR THE FIRST
    RIGHT OF REFUSAL TO
    SPENT POT LINING AND
    NON-METALLIC PRODUCT
    TECHNOLOGIES
MHM has entered into a contract
    with the Technology Providers
that secures the first right of
    refusal for the exclusive rights
    to two additional technologies
    that are under development.
    These technologies relate to the
    treatment of Spent Pot Lining,
    an additional toxic waste stream
    from the aluminium industry, and
    a value-adding technology for
    Non-Metallic Product, an industry
    by-product and residue of the
    ALNAK technology
