    Investors and prospective investors need to understand that there is more to this than simply shareholders giving it the nod. They also need regulatory approvals, such as the UK's competition regulator. I personally do not think they will have a problem but it may prolong the process, August is my guess.

    In terms of the scheme it requires a 75% vote threshold, and the vote needs to have more than 50% of shareholders by number and percentage of the register voting. Thus if only 80% of register votes, in person or by proxy, then a 20% shareholder could kill a deal.

    On the Cohen front he only has 5%, yes there is some sort of arrangement on a further 15% but this requires him to come up with serious money which I doubt he has and there is not a snowballs chance in hell that he can borrow for it ( iSoft is already haemorging with debt). So I see his reported comments as simply wishfull thinking that someone will up the price. So if he can't buy the shares he cant vote them.
