An independent expert has to explain that the deal is in the best interest of the shareholders, otherwise nothing will go through.
Let us see the expert report first, It should explain the deal in details.
If the 12 Millions of cash will be handed over along with the business for less than 9 million return (minus internal debt), I can't see any professional signing on this.
