As far as I am concerned that is a good response from the company. It is being done for a reason. As long as the shareholders are aware of the full transaction costs they do not need to be made aware of why a company wants to do something internally a different way.
If you went to buy some milk down at coles do you think you are entitled to know why The coles management spent X number of dollars on a xmas party and whether everyone else in the world new about how much alcohol was consumed paid for by shareholders money.

You just want to know that the price of the milk you bought was fair and reasonable.
