An underwriting fee of 5% plus GST of the
amount raised pursuant to the Offer and a
Management Fee of 1% plus GST of the
amount raised pursuant to the Offer in
consideration for managing the Offer

he Company will also issue CPS and/or
its nominees 40,000,000 Options
exercisable at 6 cents on or before
31/12/2012. The Options issued pursuant
to the Underwriting Agreement will be
subject to Shareholder approval.
