ord river resources eyes 10% stake in coal , page-7

I am now in an area that I have little understanding and was looking for input (its probably in the announcement and Scheme of Arrangement). How does the Scheme work....do the existing shareholders of ccd vote and when its passed the shares are compulsorily aquired, or do they sell and those that retain their shares carry on as ccd SH's? And is ORD's 10% is that based on the number that move to GRAM? Also ASX would require SH spread?
