It is a Scheme Of Arrangement (SOA). In this instance, there are 2 voting elements.

1) Majority of shareholders (Head count style but there is still debate over whether or not you need to attend - I think H put that to bed though and confirmed proxy is accepted) Even so, I would happy for "the small but noisy element" to attend in person to let them know just how noisy we can get. :)

2) If it is passed, the number of voters must constitute more than 75% of the voting rights (Shares).
