I did not have the chance of reading at the offer, which apparently has more than 100 pages. However I believe that what Coff is saying is correct, that is, that the offer is an off-the-market conditional offer.
Therefore, using his figures, if the offer fails it would be only 18%.
However imo this will be far worst than the 39% because of the rule of 40% which states that in a public listed company due to inertia or indifference on the part of some shareholders majority can be achieved with only 40%.
