"Before the New Shares are issued or transferred in accordance with the Issue, the All
Ordinaries Index or the S&P/ASX 200 Index are for three (3) consecutive Business
Days at a level which is 90% of, or less than 90% of, the level of those indexes as at
the close of trading on the date of the Underwriting Agreement;"
