They are rights, not shares meaning in order to get them, the $2M, he has to beat certain hurdles based upon total shareholder return which include ASX100 benchmarks and against other global airlines - which is why it got 97% shareholder approval.
"Subject to shareholder approval, Mr Joyce will be granted 1675000 Performance Rights (Rights)".
If QAN underperforms 50% of the ASX100, he loses 50% of the rights. If QAN is in the bottom 50% of global airlines, he loses the other half.
