Mr Bert, you say that Directors own the company - i assume you mean Mr Billis as the other two faceless directors only declare their interest being the holding that Rand has in TBR and that happens by virtue of the fact that they are directors also of Rand.
However, Mr Billis doesn't declare he owns these shares - he declares that he is only a director (but not a shareholder) of the companies that own the TBR shares (i.e. Trans Global, Sierra Gols and Rand). Therefore as a director he can certainly influence those Boards. If you know otherwise then please inform us all.
But that brings us to the real question. Just who are the shareholders and are there any other directors of Sierra Gold and Transglobal which are both "offshore companies holding some 16m TBR shares. Who are these shareholders that have put Mr Billis in as their Director/ Representative. Wouldn't it be great to know.
Why don't all shareholders ring and ask the question, why is it a secret?
Also the dilution (due to the proposed scandalous Liberian vend) of the Rand assets and therefore the dilution to their shareholders should be of real concern. It is that which i believe is causing the real concern amongst shareholders and potential shareholders of both companies.
Hence basically zero turnover. Mr Billis is also a director of Resources Capital, the company associated with the Liberian Iron Ore Deal proposed for Rand.
So there we have it, privatisation of Rand by stealth through the vend and thus the massive dilution of shareholders of Rand. But wait there is more. Tribune is the largest shareholder in Rand at the moment and the TBR shareholding gets blown out of the water.
But will the directors of TBR (those same Rand directors) vote for the deal, when and if it gets put to shareholders? At that point we will really get to see the directors true colours.
Make no mistake, Rand first, then Tribune. Rand owns 12m shares in TBR (25%) yet the directors of Rand (yes those same TBR directors) propose to give 8m of those TBR shares to Resources Capital. Then you have 24m shares in the hands of faceless unknown entities with the only apparent common link being Mr Billis.
So
1. I do not believe the lack of free float is an issue
2. I know of many large investors who want to invest - but before they do they just want to know what the directors and thus the companies intentions are.
Maybe we can get these two faceless shareholders in Sierra Gold and Trans Global shares frozen or taken by the ASIC.
When this all comes out it it will make a great movie.
Of course if i am wrong anywhere in the above then someone please just let me know.
