    Buddy, re "Independent Directors", at least 2 of the Directors that BPT has proposed for the new ADE Board are "Independent Directors" on BPT's Board, so, they technically remain "independent" on ADE's new Board. But????

    AND, just check out 6.4 of the Bidder's Statement.
