yes it is common - just as one would expect in the biggest financial crisis in almost a century - and although done with the best of intention - rulemakers have shown that they can't think below the surface at all -------- this will only result in lower quality boards - as if they aren't already low enough. What will happen is one of two things when it is found to be a giant mistake - either it will be overturned and a lot of quality will have been lost along with a lot of sh funds through poor decisions or there will be another intervention - resulting in a cascade of intervention.
I think it is particularly problematic in lower and medium market cap companies - where the little fish play.
If there is room to move as you say and boards are forced to use these methods - that looks bad. imo far better to be straight up front.
